Terms of Use

1. Definitions

In these Terms, the following words have the meanings below:

  • "Probabiliti" / "Platform": The prediction market service available at probabiliti.ng and via the Probabiliti mobile application, operated by ZNL Gaming Limited.
  • "ZNL Gaming" / "we" / "us" / "our": ZNL Gaming Limited, a company incorporated under the laws of Nigeria.
  • "User" / "you": Any individual who creates an account and uses the Platform.
  • "Market": A prediction event on the Platform with a defined question, timeframe, and resolution criteria.
  • "Wallet": Your Probabiliti account balance, held and processed through Paystack.
  • "Prediction" / "Share": A position (YES or NO) purchased by a user in a Market.
  • "H2H Wager": A Head-to-Head wager between two or more specific users arranged through the Platform.
  • "AMM": Automated Market Maker — the price-setting algorithm that determines share prices based on pool composition.
  • "KYC": Know Your Customer — the identity verification process required for full Platform access.
  • "Pro Subscription": A paid premium subscription tier granting access to the Create Market feature.

2. Eligibility

  1. You must be at least 18 years of age to create a Probabiliti account or use the Platform in any capacity.
  2. You must be a resident of Nigeria.
  3. You must not be subject to any legal restriction that prevents you from participating in prediction markets or online gaming activities.
  4. You may only hold one account. Creating multiple accounts is strictly prohibited and will result in permanent suspension of all associated accounts and forfeiture of any wallet balance.
  5. By registering, you confirm that all information you provide is accurate, complete, and up to date. Providing false information is grounds for immediate account termination.

3. Account Registration & Security

  1. You are responsible for maintaining the confidentiality of your account credentials, including your password and any two-factor authentication (2FA) codes.
  2. You must notify us immediately at security@probabiliti.ng if you suspect your account has been accessed without your permission.
  3. ZNL Gaming will never contact you to ask for your password, PIN, or full card number. Any communication requesting this information is fraudulent.
  4. You are responsible for all activity carried out under your account, whether authorised by you or not, unless you report unauthorised access promptly.
  5. We reserve the right to suspend or terminate your account if we have reason to believe it has been compromised or is being used fraudulently.

4. Prediction Markets

  1. All Markets on Probabiliti are operated as prediction markets using an Automated Market Maker (AMM) system. Prices are determined algorithmically based on total capital in each outcome pool.
  2. Probabiliti is a prediction market platform, not a sports betting or gambling company. Market outcomes are determined by real-world events and resolved by the Probabiliti administration team using publicly verifiable sources.
  3. Share prices can go up or down between the time you purchase and when the market closes. You may sell your shares at any time before market close at the prevailing price.
  4. If your predicted outcome is correct at resolution, you receive ₦1.00 per share. If incorrect, your shares have zero value.
  5. Probabiliti does not guarantee profits or specific returns. Participation carries financial risk and you may lose the amount you invest in any prediction.
  6. Markets may be voided at the discretion of ZNL Gaming if the underlying event is cancelled, postponed indefinitely, or if the outcome cannot be verified with sufficient certainty. In the event of a void, all user funds invested in that market are returned to wallets in full.

5. User-Created Markets (Pro Subscription)

  1. The Create Market feature is available exclusively to users with an active Pro subscription.
  2. Pro subscribers may create up to 15 markets per calendar month.
  3. All user-created markets must be submitted for review and are subject to approval by the Probabiliti administration team before they are made live on the Platform.
  4. ZNL Gaming reserves the right to reject any market submission that violates these Terms, is potentially misleading, is based on unverifiable outcomes, or is otherwise deemed inappropriate.
  5. Market creators receive 50% of all trading fees generated by their market. Fees are credited to the creator's wallet upon market resolution.
  6. Market resolution is conducted by the Probabiliti administration team, not the market creator. Creators may submit evidence of the outcome but the final determination rests solely with ZNL Gaming.
  7. Market creators are prohibited from trading in their own markets.

6. Head-to-Head (H2H) Wagers

  1. H2H Wagers are private wagers arranged between two or more users. All users are eligible to create and participate in H2H Wagers.
  2. Group H2H Wagers may have between 2 and 50 participants.
  3. All wager funds are held in escrow via Paystack from the time all parties confirm participation until the wager is resolved.
  4. Outcome confirmation requires agreement from all parties. Where all parties agree on the outcome, the winner is paid automatically.
  5. In cases of outcome disagreement, the dispute is submitted to the Probabiliti administration team for arbitration. The admin decision is final and binding on all parties.
  6. Probabiliti charges a 3% platform fee on the total wager amount at resolution, deducted before the winner receives their payout.
  7. ZNL Gaming is not a party to any H2H Wager. We provide the escrow and dispute resolution infrastructure only. We do not guarantee any particular outcome.

7. Wallet, Deposits & Withdrawals

  1. All deposits and withdrawals are processed through Paystack, a CBN-licensed payment service provider. ZNL Gaming does not hold user funds directly.
  2. The minimum deposit is ₦500. The minimum withdrawal is ₦1,000.
  3. Withdrawals below ₦100,000 are processed automatically. Withdrawals of ₦100,000 and above are subject to manual review and may take up to 2 business days.
  4. Full withdrawal access requires completion of KYC verification.
  5. Bonus credit (including the welcome bonus, cashback rewards, and referral bonuses) must be wagered at least once before any wallet balance may be withdrawn.
  6. ZNL Gaming reserves the right to delay, suspend, or cancel a withdrawal if there is reasonable suspicion of fraud, money laundering, or breach of these Terms. In such cases, we will notify you and may request additional documentation.
  7. Probabiliti does not charge withdrawal fees. Third-party bank transfer fees charged by Paystack may apply.

8. Bonuses, Rewards & Referrals

  1. The ₦500 welcome bonus is available to all new users on first login. It is subject to a 1x wagering requirement before withdrawal.
  2. Cashback rewards granted upon XP tier progression are subject to the same 1x wagering requirement.
  3. Referral bonuses are payable only when the referred user is a genuine new account verified by phone number, email, BVN, and device fingerprint.
  4. ZNL Gaming reserves the right to modify, suspend, or cancel any bonus or reward programme at any time with reasonable notice.
  5. Bonuses may be forfeited if fraudulent activity is detected, including multi-accounting or self-referral.

9. Prohibited Conduct

You must not use Probabiliti in any way that:

  • Involves creating more than one account per person.
  • Uses bots, scripts, automated tools, or artificial intelligence to gain an unfair advantage in any market or H2H wager.
  • Involves market manipulation — including colluding with other users to distort market prices.
  • Involves money laundering, fraud, or any other financial crime.
  • Involves placing predictions using funds that are proceeds of crime.
  • Involves sharing or selling your account credentials to any third party.
  • Involves creating markets with false, unverifiable, or harmful content.
  • Violates any applicable Nigerian law or regulation.

Breach of any of the above may result in immediate account suspension, forfeiture of wallet balance, and referral to relevant law enforcement authorities.

10. Intellectual Property

  1. All content on Probabiliti — including but not limited to the name, logo, design, text, software, and market data — is the property of ZNL Gaming Limited and is protected by Nigerian and international intellectual property laws.
  2. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for personal, non-commercial purposes only.
  3. You may not reproduce, copy, distribute, modify, or create derivative works from any Probabiliti content without our express written consent.

11. Limitation of Liability

  1. Probabiliti is provided "as is." ZNL Gaming makes no warranties, express or implied, regarding the availability, accuracy, or reliability of the Platform.
  2. To the maximum extent permitted by Nigerian law, ZNL Gaming shall not be liable for any indirect, incidental, special, or consequential loss arising from your use of the Platform.
  3. Our total liability to you for any claim arising from your use of Probabiliti shall not exceed the total amount deposited by you in the 30 days prior to the event giving rise to the claim.
  4. We are not responsible for losses caused by events beyond our reasonable control, including payment processor outages, internet disruption, or government regulatory action.

12. Privacy

Your use of Probabiliti is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your data as described in the Privacy Policy. A copy of the Privacy Policy is available at probabiliti.ng/privacy.

13. Account Suspension & Termination

  1. ZNL Gaming reserves the right to suspend or terminate your account at any time for breach of these Terms, suspected fraud, or regulatory requirement, with or without prior notice depending on the severity of the circumstances.
  2. You may close your account at any time by contacting support@probabiliti.ng. Any withdrawable balance will be returned to your verified bank account within 5 business days.
  3. Upon termination, any bonus credit that has not met the wagering requirement is forfeited.
  4. Markets in progress at the time of account closure will continue to resolve normally; any winnings due will be processed and credited before the account is closed.

14. Changes to These Terms

ZNL Gaming reserves the right to update these Terms at any time. We will notify you of material changes via email or in-app notification at least 14 days before the changes take effect. Continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms.

15. Governing Law & Disputes

  1. These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
  2. Any dispute arising from or in connection with these Terms shall first be referred to ZNL Gaming for resolution. If the dispute cannot be resolved informally within 30 days, it shall be submitted to arbitration in Lagos, Nigeria, under the rules of the Lagos Court of Arbitration.
  3. Nothing in this clause prevents ZNL Gaming from seeking urgent injunctive or other equitable relief in a court of competent jurisdiction.
